Netflix Set to Acquire Warner Bros. and HBO for $82.7 Billion

Netflix has emerged victorious in the intense bidding competition for Warner Bros., outpacing offers from Comcast and Paramount with a staggering $82.7 billion deal.

If this acquisition secures regulatory approval — a significant hurdle — Netflix will gain access to a wealth of intellectual property, including the DC Universe, the film and TV rights to Harry Potter, HBO, HBO Max, and the historic Warner Bros. studio, which has been a key player in the industry for over a century.

In a recent announcement, Netflix revealed that its successful bid was priced at $27.75 per share. The deal is set to finalize after Warner Bros. Discovery’s TV networks, which Netflix has no interest in, are separated into a different entity, anticipated to occur in the third quarter of 2026. Reports indicate that Netflix has also included a substantial $5 billion break-up fee should the deal fall through. Comcast had its sights on acquiring Warner Bros. and HBO, while Paramount aimed for a broader acquisition of Warner Bros. Discovery, including its linear TV networks. Paramount was previously seen as the frontrunner, making Netflix’s win a surprising turn of events, especially given its historical reluctance towards major acquisitions.

The announcement followed a day filled with tension, as Paramount publicly criticized the bidding process, sensing the deal slipping away. They claimed the negotiations were “tainted by management conflicts” and accused certain WBD executives of prioritizing personal interests. Paramount expressed frustration, stating that WBD had abandoned a fair transaction process, favoring a single bidder instead.

The path ahead for this merger is fraught with challenges. It will require approval from antitrust regulators, facing strong opposition from both politicians and industry insiders. The Directors Guild of America has already voiced significant concerns, while reports suggest that a group of Hollywood A-listers has reached out to Congress, warning that a Netflix acquisition could jeopardize the theatrical landscape and threaten millions of jobs.

Paramount was considered a likely candidate for the acquisition due to the favorable relations its new owners, the Ellison family, have cultivated with the Trump administration, which facilitated the swift approval of their merger with Skydance earlier this year. Netflix, however, lacks similar political advantages in Washington.

Celebrating the deal, Netflix co-CEO Ted Sarandos stated, “Our mission has always been to entertain the world. By merging Warner Bros.’ incredible library of shows and movies — from timeless classics like Casablanca and Citizen Kane to modern hits like Harry Potter and Friends — with our culture-defining titles like Stranger Things, K-Pop Demon Hunters, and Squid Game, we can enhance our offerings. Together, we can provide audiences with more of what they love and help shape the next century of storytelling.”

Warner Bros. Discovery CEO David Zaslav added, “Today’s announcement unites two of the greatest storytelling companies in the world, allowing us to deliver even more of the entertainment audiences cherish. For over a century, Warner Bros. has captivated viewers and influenced culture. By joining forces with Netflix, we will ensure that people everywhere can continue to enjoy the most resonant stories for generations to come.”

It’s been a tumultuous year for Warner Bros. While the company faced setbacks, including the closure of three gaming studios, one of which was developing a Wonder Woman game, it also enjoyed notable successes. Films like Sinners and Minecraft have consistently topped the charts throughout 2025.

However, these successes weren’t enough to alter the course of events. Zaslav signaled the intent to sell Warner Bros. back in October, igniting a bidding war that began with initial non-binding offers on November 20. It remains to be seen if the new owners will opt to rebrand HBO Max for a third time, keeping fans guessing.

A new chapter for Warner Bros. is on the horizon, and hopefully, it will bring a sense of stability moving forward.
