Paramount Pursues Warner Bros. Acquisition with New Lawsuit

Paramount is not backing down in its pursuit of Warner Bros. Discovery, despite facing multiple rejections. The company has now initiated a lawsuit aimed at compelling WBD to disclose details about Netflix’s bid. Paramount plans to nominate its own directors at the upcoming WBD 2026 Annual Meeting, potentially igniting a proxy battle over the company’s direction. In a memo to WBD shareholders, Paramount’s David Ellison stated that the lawsuit was filed to ensure shareholders have the necessary information to make informed decisions regarding their shares in light of Paramount’s offer. He emphasized that WBD has not provided the customary financial disclosures related to Netflix’s bid, which is essential for shareholders to evaluate their options.

Ellison expressed frustration that WBD has not engaged in discussions or negotiations regarding Paramount’s proposal made on December 4. He pointed out that it seems illogical for WBD to prefer a lower offer than Paramount’s all-cash bid of $30 per share. Ellison urged WBD’s board to negotiate with Paramount, asserting that this would lead to the best outcome for both parties. He reiterated Paramount’s commitment to constructive dialogue and finding reasonable solutions.

On January 7, WBD officially dismissed Paramount’s revised offer, stating it was not in the best interests of the company or its shareholders. WBD’s board continues to endorse Netflix’s bid, which includes a substantial guarantee from Larry Ellison, while Paramount’s offer, although higher, involves various complexities. The stakes are high, especially considering that the acquiring company could gain control of WBD’s extensive gaming division, which encompasses numerous franchises and studios. However, there remains a chance that no deal will occur, as concerns about media consolidation have been raised, with figures like Senator Elizabeth Warren advocating against such mergers for the sake of consumer interests.
